Online sale of ‘Panafrica’ brand products by H&V SAS.

The company H&V SAS (Trade Name: Panafrica), with a capital of 20,000 euros, having its registered office at 7 rue Joseph Dijon, 75018 PARIS FRANCE, is registered in France with the RCS of Paris under the number 813 179 348, publisher of the website www.panafrica-store.com.

PANAFRICA undertakes to make its best efforts to ensure that users and customers can access the site at all times. The www.panafrica-store.com website is available 7 days a week and 24 hours a day, except in cases of force majeure such as technical, maintenance or telecommunications difficulties.

 

ARTICLE 1: GENERAL CONDITIONS OF USE

Any access to and/or use of the www.panafrica-store.com website implies compliance with and acceptance of all the provisions of these general terms and conditions. They therefore constitute a contract between Panafrica and the User/Customer.

The General Terms and Conditions of Sale are archived on the www.panafrica-store.com website (hereinafter referred to as ‘the site’). The Customer may retrieve them at any time.

Purchases of Products on the Site are reserved for natural persons who are not acting in the course of their professional activity. The Site does not allow the purchase of Products with a view to their resale.

Any order for a Product offered on the Site implies the User's full acceptance of these General Terms and Conditions of Sale.

References such as ‘we’ or ‘us’ in the context of these GCS designate PANAFRICA, and any reference to ‘you’ or ‘your’ designates you as a user or client of the Website.

 

ARTICLE 2: PLACING AN ORDER

You can place an order on our website www.panafrica-store.com 24 hours a day, 7 days a week.

The ordering process consists of four (4) successive stages.Once you have made your choice of Products (size, colour, quantity) and validated your basket, you must :

Identify yourself.
Choose your delivery method.
Choose your payment method.
Accept the terms and conditions of sale by ticking the appropriate box on the order summary page. Confirmation of the order implies irrevocable acceptance of these terms and conditions.
Payment will formalise the sales contract between you and PANAFRICA in a firm and definitive manner.

You can view and modify the items in your order at any time by clicking on ‘My basket’.

Once the order has been validated, you will automatically receive an email confirming your order, including a summary of the items ordered.

Once your order has been confirmed and on condition that you have obtained authorisation to debit your account, PANAFRICA will proceed with shipping.

 

ARTICLE 3: PRODUCT AVAILABILITY

The items visible on the site are available while stocks last. In the event of debit or collection of an order for an unavailable item, PANAFRICA undertakes to offer a credit note valid for 1 year or to reimburse the customer within 14 days.PANAFRICA commits to inform by email the customer who would have placed an order of an unavailable article.The means at your disposal to retract an order are described in the ‘right of retraction’ article.

 

ARTICLE 4: PRODUCT INFORMATION

PANAFRICA  is committed to provide customers and users with information on the characteristics of the products, notably by means of the ‘Product Sheets’.

Only the Products appearing on the Site on the day of the Customer's order are offered for sale.The photographs, graphics and visuals presented on the www.panafrica-store.com website are intended to illustrate the Products offered for sale and are non-contractual. The Customer may refer to the Product Sheets to find out about the characteristics of the Products.

 

ARTICLE 5: PRICE AND PAYMENT

Sale prices are indicated in Euros and include all taxes, excluding delivery costs and any taxes and customs duties for shipments outside France (see article 4 for details of delivery costs).

Value Added Tax (VAT) is that applicable on the day the order is placed in France.
The prices applied are those shown on the site when the order is validated. Prices may be modified at any time by the seller, without prior notice, particularly in the event of changes in tax or economic data.Items ordered must be paid for in euros and online. Any bank charges incurred by the payment shall be borne by the customer.The goods delivered remain the property of the seller until full payment has been received.PANAFRICA will not be obliged to deliver the Products ordered by the Client if the price has not been paid in full.

Online payment is made by credit card or by using a Paypal payment account. You certify that you are the holder of the bank card or Paypal account used to pay for your items.

An invoice summarising the order will be available as soon as the order has been dispatched on the ‘history’ page.

 

ARTICLE 6: DELIVERY COSTS, DELIVERY TIMES AND COUNTRIES

6.1 Delivery in France and abroad:

We deliver worldwide.

6.2 Delivery methods - delivery charges - delivery times:

are indicative. They in no way constitute a guarantee that items will be delivered on the date indicated on the website.

We prepare and dispatch your order within 24 hours (excluding weekends and public holidays). Customers will be notified by e-mail as soon as their parcel has been dispatched and will receive an order tracking number to keep them informed of the progress of their parcel.

Products are delivered within a maximum of 30 days from the date of full payment. If this period is exceeded, the customer may request immediate cancellation of the sale by sending an e-mail to hello@panafrica-store.com and obtain a refund of any sums paid in connection with this sale.If you place an order for several products, we may have to send them to you in several instalments.

Before placing your order, you will be informed of the expected delivery times with an indicative delivery date. Once you have placed your order, you will receive a confirmation e-mail with the expected delivery times.

The products ordered will be delivered to the delivery address you provided when you placed your order. We cannot be held responsible for incorrect or incomplete addresses.

6.3 Customs charges for orders outside the European Union :

For customers residing outside the territory of the European Union and in French overseas departments and territories, the prices invoiced will be exclusive of tax. These prices must be understood as ‘Delivery Duty Unpaid’ (DDU), as PANAFRICA is materially unable to provide customers with exact information on the total amount of costs related to customs duties and formalities, and import taxes applicable in the country where delivery is requested. The payment of these costs, which may be necessary for the products ordered to enter the delivery territory, is the sole responsibility of the customer.

Refusal by the customer to pay customs duties shall not result in the cancellation of the order or its reimbursement. Any transport and customs clearance fees paid by PANAFRICA to recall the order will be charged to the customer.

 

ARTICLE 7: PAYMENT AND SECURITY

Payment for purchases must be made using a bank card (Visa, Mastercard, American Express) or via a Paypal account.

The order will be recorded as soon as the payment has been accepted by the bank. You must enter the type of card, the name on the card, the card number, the expiry date and the security code located on the back of the card in the spaces provided.

Your bank account will be debited when the order is placed.

We make every effort to ensure the confidentiality and security of data transmitted on the web and on the www.panafrica-store.com website.

 

ARTICLE 8: RIGHT OF WITHDRAWAL

In accordance with the legal provisions in force, you have a period of 30 days from receipt of your products to exercise your right of withdrawal from PANAFRICA without having to justify your reasons or pay any penalty. The starting point of the period is the day of receipt of the order by the customer or by the third party designated by the customer. If the 30-day period expires on a Saturday, Sunday or public holiday, it is extended until the next working day.

To exercise your right of withdrawal, you must inform PANAFRICA of your decision to withdraw by sending us, before the expiry of the 30-day period, the withdrawal form to be completed online in the my account section.

Returns must be made in a single package in their original condition and complete (packaging, accessories, original labels, etc.) to enable the Product(s) to be remarketed in new condition. Products returned incomplete, damaged or soiled will not be accepted for return or refund. If the return or exchange is refused, the items will be returned to the customer.

 

ARTICLE 9: RETURNS: REFUND OR EXCHANGE

9.1 Time limit

Irrespective of the withdrawal period mentioned above, you have a period of 30 clear days from the date of receipt of the order to return the item(s) that do not suit you, subject to compliance with the conditions set out below.

If we receive your returned goods more than 31 working days after receipt of the goods ordered, we reserve the right not to exchange or refund the goods. The items will be returned to you.

9.2 Returns conditions and procedure

All requests for returns must be made within 30 days of receipt of the order, via the ‘my account’ section on the www.panafrica-store.com website, by following the steps below:

Access your order history from your account.
Select the order containing the product to be returned.
Select the product(s) to be returned by ticking the box next to their name(s).
Select the reason for the return AND specify your wish for an exchange or refund.
Generate and print the pdf of the return request form and enclose it in your return parcel.
For customers whose delivery address is in mainland France and for whom the items were not purchased during a promotional period, a returns slip will be sent by email within 3 days (excluding weekends and public holidays), which should be attached to the returns package.

9.3 Condition of Products

Returns must be made in a single package in their original condition and complete (packaging, accessories, original labels, etc.) to enable the Product(s) to be remarketed in new condition.

The parcel must contain :

Products in perfect condition with the original label
The original shoe boxes
Any accompanying accessories
Please do not return your package with only the original shoe box. If the shoes are damaged, we will refuse the return.

Products returned incomplete, damaged or soiled will not be accepted for return or refund. If the return or exchange is refused, the items will be returned to the customer.

9.4 Return postage costs

For metropolitan France, postage costs for returns are free (excluding promotional periods, sales and the Christmas period) via Mondial Relay.

For other countries, postage costs for returns are at the customer's expense.

9.5 Refunds on returns

When the right of withdrawal is exercised, and if the above-mentioned conditions are met, PANAFRICA will reimburse you for the price of the product(s) purchased (excluding shipping costs if paid at the time of the order) at the latest within thirty (30) days from the date on which PANAFRICA is informed of your decision to withdraw.

PANAFRICA may postpone the refund until the Products have been recovered or until you have provided proof of shipment of these goods.

The refund will be made by PANAFRICA using the same payment method that you used for the initial transaction.

Only the cost including VAT of the products purchased will be reimbursed (shipping costs will not be reimbursed).

ARTICLE 10: LEGAL GUARANTEES

All our products benefit from the legal guarantee system, provided that they have been used normally and that the maintenance advice has been followed. If there are defects in the goods you have purchased, PANAFRICA complies with all legal regulations in terms of guarantee.

The products benefit from the legal guarantee of conformity (article L 211-4 and following of the Consumer Code) and the guarantee of hidden defects (article 1641 and following of the Civil Code). All warranties are excluded in the event of external damage or damage resulting from misuse, non-compliant use, negligence or lack of maintenance on the part of the Customer, as well as in the event of normal wear and tear of the product.

The Client requesting the benefit of the legal guarantee of conformity or hidden defects must then return the article within the aforementioned timeframe to PANAFRICA accompanied by an explanatory letter. In the event of the return of a defective or non-conforming product, after PANAFRICA has noted the defectiveness or non-conformity of the product, PANAFRICA will reimburse the Client for the price of the item(s) concerned, the return costs, and, in the event of the return of the entire order, the shipping costs.

 

ARTICLE 11: PERSONAL DATA

PANAFRICA is responsible for the processing of your personal data and attaches the greatest importance to the protection of your personal data.

The information that you communicate to us in the context of your orders is intended for PANAFRICA and is used for the processing and follow-up of your orders, the after-sales service of the products ordered on our Site and the marketing management (Newsletter, emailing...) and customer relations of your customer account.

Your personal data may be transmitted to PANAFRICA's service providers for the purposes of processing orders and after-sales service as well as for marketing and customer relations management, it being specified that some of these service providers are located outside the European Union.

You have the right to access, oppose, rectify and delete your personal data held by PANAFRICA at any time, by writing by email or by post to the aforementioned addresses.

 

ARTICLE 12: LIABILITY

PANAFRICA is automatically responsible to the customer for the proper execution of the contract concluded with the customer.

However, PANAFRICA cannot be held responsible for the non-execution or poor execution of the contract concluded in the case of force majeure, the occurrence of an event attributable to the customer or any unforeseeable and insurmountable inconvenience or damage inherent in the use of the Internet network, notably a break in service, external intrusion or the presence of computer viruses.

The PANAFRICA site contains hypertext links to other websites. PANAFRICA cannot be held responsible for the content of these websites if they contravene the legal and regulatory provisions in force.

The photographs and illustrations accompanying the products on our website have no contractual value and therefore do not engage the responsibility of PANAFRICA.

 

ARTICLE 13: INTELLECTUAL PROPERTY RIGHTS

All elements of the Website are the exclusive intellectual property of PANAFRICA.

The use of the Website does not authorise you in any way to exploit or reproduce the drawings and models. You do not have any copyright, trademark right or any other intellectual property right.

The trademarks and distinctive signs of the Products on the Website are protected under trademark law; the reproduction or representation of any element is strictly prohibited.

The Internet Site made available to you is intended solely for your personal, private and non-commercial use. The content of the Website may not be used for any other purpose whatsoever without our express written consent.

 

ARTICLE 14: APPLICABLE LAW - DISPUTES

These general terms and conditions of use and sale are governed by French law. In the event of persistent disagreement over the application, interpretation and performance of these terms and conditions, and in the absence of an amicable agreement, any dispute will be referred to the competent French courts.
